Terms & Conditions CAL-ON INDUSTRIES LTD Electric Vehicles

General Terms and Conditions: -

These Terms and Conditions shall be considered as an integral part of the Booking Terms and Conditions Agreement

By accepting these Terms, You confirm that You are above eighteen (18) years of age. The Terms of agreement established between You and CAL-ON

1. PAYMENT

CAL-ON shall notify You the details of the company outlet/dealer from where the balance payment of sale consideration has to be made and the timeline for the balance payment for the Vehicle is due. You may visit the nearest company outlet/dealer to ascertain the documentation formalities. The Booking Amount paid by you to CAL-ON shall be adjusted against the final sale price. However, the company/dealer shall provide the invoice for the full sale value of the vehicle including the amount collected by us at the time of Booking.

Failure to make the balance payments in time may result delay in delivery of the Vehicle and / or may result in cancellation of the Booking.

2. FINANCING OPTIONS: -

If You wish to avail any of the financing options for the purchase of the Vehicle that may be availed through the financiers available at the dealer outlet and / or you can make your own arrangements for the same. CAL-ON shall not be responsible for the availability / non availability of the financing option.

In the event You avail of any third-party’s services to finance the purchase of Your Vehicle and CAL-ON shall have no objection to enter into any agreement with such third-party financer.

3. REGISTRATION OF THE VEHICLE AND INSURANCE: -

On purchase of the Vehicle and once the Vehicle is ready for delivery, you can take the assistance of the CAL-ON company / dealer for the registration formalities. The Registration charges is not included in the Sale Price. You can ascertain the charges for registration directly from the dealers notified to You.

You can take the support of the company outlet or dealer for insurance arrangements. Alternatively, you may make your own arrangements for the insurance of your vehicle.

You acknowledge that the grant or denial of the Vehicle registration is at the sole discretion of the competent authority appointed on such behalf, and You will have no claims against CAL-ON and / or the dealer in the event the registration of the Vehicle purchased by You is denied for any reason.

4. WARRANTY: -

CAL-ON Vehicles comes with the standard manufacturer's warranty. Kindly refer to the warranty terms and conditions printed on the owner's manual.

On expiry of the warranty period, all services to be provided by CAL-ON company outlet or dealer shall be chargeable at rates as may be communicated from time to time. You can avail your services from any authorized dealer or outlets of CAL-ON. CAL-ON shall not be responsible for any shortcoming or problems that may arise due to not availing services from an authorized dealer.

5. DATA USE AND PROTECTION: -

a. CAL-ON collects some of the personal information such as your name, age, address, your PAN, Aadhar, Bank Account, Photograph email ID etc. Such information is collected for transactional requirements and provision of certain services. The same shall be subjected to the privacy policy.

b. CAL-ON reserves the right to store all email interactions with its customers, including read receipt, history of interaction with You vide electronic mail for the purpose of providing customer support.

c. In the event You contact Our customer support team or Our customer support team contacts You pursuant to Your request, we may record all conversations for training and audit purposes.

d. CAL-ON has developed internet / mobile applications in order to provide navigation services as optional. CAL-ON may use the personal driving data details to provide assistance to locate and track the Vehicle on good effort basis.

e. We may collect information when You visit and/ or use the Website. This information includes browser information, internet protocol address, information collected through Cookies (defined below), details of Your internet service provider, the date, time and duration of Your usage of the Website, pixel tags and other technologies, demographic information, etc. Our website gathers some information automatically when You visit the Website and stores it in log files. We may collect certain information about Your computer or other electronic device through which You have accessed the Website to facilitate, evaluate and verify Your use of the Website and to provide seamless user experience when interacting with the Website.

f. "Cookies" are small files that reside on Your computer's hard drive and generally contain an anonymous unique identifier and are accessible only by the website/ application that placed them there and not any other sites. You may refuse to accept Cookies by activating the setting on Your browser which allows You to refuse the setting of Cookies. However, if You select this setting You may be unable to access certain parts of the Website. Unless You have adjusted Your browser setting so that it will refuse Cookies, our system may issue Cookies when You log on to the Website. The use of Cookies by Our partners, affiliates, advertisers or service providers is not covered by the Policy.

g. CAL-ON collects information with respect to the model of the handset/mobile being used by the Customer and information relating to the software version, connectivity and connection quality and the user patterns to develop and optimize application developed by CAL-ON and software services for the Customer.

h. We may use information provided by you to conduct market analysis, personalize communications to You and to other actual and potential customers of CAL-ON, and to identify, collate and analyze relevant, publicly available data for the purposes of conducting marketing and promotional activities. You acknowledge that the information created as a result of our analytics belongs to Us, and We will retain the same, notwithstanding a request from You under above clause

6. Transfer of Information to Third Parties

The services/activities detailed under sub-clauses above may be performed by CAL-ON either directly or through its authorized third parties. In the event CAL-ON authorizes a third party to perform the services, CAL-ON may share some of the Personal Information of the Customer with such authorized third parties for the performance of services.

7. Notwithstanding anything contained under this Clause, CAL-ON and its third party partners shall have the right to retain Your Personal Information, transaction and order id and other relevant information in the event CAL-ON is required to retain such information (i) in order to comply with applicable laws; (ii) in order to defend itself against claims made by third parties; and (iii) to provide information pursuant to an order received from court, regulatory or investigative authority. CAL-ON shall not be liable to notify You of such order for disclosure received from such court, regulatory or investigative authority.

8. We may aggregate or anonymize the information provided by You as part of our analytics. You agree and acknowledge that such anonymized or aggregated information will no longer constitute Your Personal Information and will not be subject to this Clause.

9. We collect information relating to the performance of the Vehicle, including battery performance, number of kilometers the Vehicle has run, use of features by the Customers etc., for the purpose of analytics and to improve the performance of the Vehicle. Information relating to the Vehicle collected by CAL-ON that does not contain any personal information provided by You, shall be deemed to be CAL-ON proprietary information and shall be solely owned by CAL-ON. CAL-ON may use such information in the manner it deems fit and necessary.

10. We will record and store information relating to service request, customer request for repair of the Vehicle, service jobs performed upon the Vehicle, warranty history of the parts/spares of the Vehicle, insurance claims history in order to provide after sales services to You. You hereby acknowledge and agree that such information shall be deemed Vehicle information and shall be solely owned by CAL-ON. In the event, if You intend to transfer the ownership of the Vehicle purchased by You, You (“Seller”) shall be responsible to promptly notify CAL-ON of such sale. On receipt of notice from the Seller, CAL-ON shall delete/ignore all information relating to the Seller from its systems except information that is required to be retained by CAL-ON to (i) comply with applicable laws; (ii) defend itself against third party claims. You agree that any Vehicle related information recorded by CAL-ON is CAL-ON’s property and will be retained by CAL-ON. You agree to inform any purchaser of the Vehicle (“Buyer”), that the Buyer’s use of the Vehicle is subject to such Buyer’s acceptance of CAL-ON’s terms and conditions. You will be required to pass on any such Vehicle information or information regarding the maintenance and servicing of the Vehicle (including the Maintenance Matrix) to the buyer of the Vehicle. In the event You intend to change the user profile on the Vehicle, You will follow the same procedure as specified above. The profile of the new user of the Vehicle shall be updated subject to the acceptance by the new user of CAL-ON’s terms and conditions.

11. "AS AVAILABLE," AND "WITH ALL FAULTS" Basis. To the fullest extent permissible by law, neither CAL-ON nor ANY EMPLOYEES, MANAGERS, OFFICERS, DIRECTORS, CONTRACTOR/AGENTS OFCAL-ON (collectively called “CAL-ON PARTIES”) make any representations or warranties or endorsements of any kind whatsoever, express or implied, AS TO: CAL-ON SERVICES, THE CAL-ON CONTENT, USER CONTENT or SECURITY ASSOCIATED with the transmission of information in connection with CAL-ON services. Also, CAL-ON PARTIES hereby disclaim all warranties, express or implied including WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, CUSTOM, TRADE, QUIET ENJOYMENT, AND SYSTEM INTEGRATION.

13. OTHER TERMS AND CONDITIONS

a. You must not purchase or use the Vehicle if You have not attained the legal age to use the Vehicle. You must not purchase any Vehicle on behalf of another person who has not attained the legal age to use the Vehicle.

b. You understand that You are responsible for damage to the Vehicle and Charging Points caused by Your actions. In relation to the Vehicle, You understand the nature of riding an electric scooter and related activities and acknowledge that You are qualified to operate the Vehicle and are in proper physical condition to participate in such activity. You agree to assume all risks when allowing others to operate the Vehicle. If You are not familiar with the nature of riding an electric scooter, You should seek professional training before operating an electric vehicles.

14. User Manual

A User Manual is available on CAL-ON’s website, detailing the parts, technology and functionality of the Vehicle and Charging Solution. The User Manual shall also detail the manner in which the Vehicle is required to be used by the Customer. The Customer shall be required to read and understand the User Manual completely and use the Vehicle in accordance with the instructions provided in the User Manual. The User Manual may be updated from time to time to reflect any changes to the features and functionalities of the Vehicle, and You agree to comply with the stipulations and requirements of such updated User Manual.

15. Customer Responsibility

a. You must not purchase or use the Vehicle if You have not attained the legal age to use the Vehicle. You must not purchase any Vehicle on behalf of another person who has not attained the legal age to use the Vehicle.

b. You understand that You are responsible for damage to the Vehicle and Charging Points caused by Your actions. In relation to the Vehicle, You understand the nature of riding an electric scooter and related activities and acknowledge that You are qualified to operate the Vehicle and are in proper physical condition to participate in such activity. You agree to assume all risks when allowing others to operate the Vehicle. If You are not familiar with the nature of riding an electric scooter, You should seek professional training before operating an electric vehicles.

c. In the event You choose to transfer ownership or use of the Vehicle purchased by You to a third person, You must inform CAL-ON of such intent, to enable CAL-ON to delete Your user profile and replace it with the user profile of the transferee. In the event you permit any other individual to use the Vehicle without informing CAL-ON, the information of the user will be captured and recorded by Us as if it was Your information, and You indemnify Us against any claims made by the user against CAL-ON in relation to the collection and/or use of such information in accordance with these Terms.

16. Governing Law and Dispute Resolution

These Terms shall be governed by laws prevailing in India and in the event of any dispute between CAL-ON and You, the parties will endeavor to resolve the dispute through mutual discussions. In the event the parties fail to resolve the dispute through mutual discussions within a period of 60 days, only the Courts in Hyderabad, India shall have the exclusive jurisdiction to resolve the dispute between the parties.
